Sole Prop vs Pte Ltd

A sole proprietor business is cheaper and easier to set up.  You do not need to appoint directors and you do not need to maintain audited accounts.  All you have to do is to think of a name, go to ACRA online and register your business.  However with a sole prop setup, if your company makes losses, your personal assets will be exposed, i.e. your creditors can claim against your personal assets if your company assets are not sufficient.  In addition, if you are an employee with a salary in the higher tier, your tax liabilities will be even higher if you add your rental income.

How to Get 'reimbursed' for GST Paid on Purchase of Commercial Property

The last post talked about incurring GST on the purchase of commercial property.   As mentioned, there is an avenue for investors to be reimbursed for the GST incurred and that is to establish an Investment Holding Company.

When establishing a company, there are a few options of entity types to choose from.  The most common ones are Self Proprietor and Pte Ltd.  Each option has its pros and cons.  Check out the next issue on which option suits you better.

Main difference between buying commercial vs residential property

Welcome to my 2nd article on this blog!

The main difference between buying commercial property vs residential property in Singapore is that the buyer of a commercial property has to pay a Goods and Services Tax (GST) of 7% on the purchase price.  So you have to factor this tax as part of your initial capital outlay which can be quite substantial; for example a commercial property of S$1 million attracts a GST of S$70000!

Having said that, there is a way for the GST to be 'reimbursed' to the buyer.  Check out for my next article to learn how.

Background of Investing in Singapore Commercial Property

The latest round of cooling measures introduced in Singapore for residential properties has driven many cash-rich investors to turn to commercial properties instead.  Commercial properties include both office and retail units.

I personally have invested in 2 strata-titled retail units during the past 12 months.  As it was my first time purchasing commercial properties, I made a few mistakes and also learnt a lot during the entire process.  As such, I have started this blog to share with you my mistakes made as well lessons learnt.

Stay tuned to my upcoming postings as I share more.
